A. Establishment of agreement and appointment
(1.a) Agreement establishment
We appreciate your decision to engage our services as your consultant. The following terms and conditions outline the framework within which we will provide our services to you.
(1.b) Acceptance of terms and conditions
Please carefully review these terms and conditions, along with any related documents. By responding to the initial service email or completing payment of any upfront service fee, you are indicating your acceptance and agreement to comply with these terms and conditions.
(1.c) Variation of terms and conditions
We reserve the right to make changes to these terms and conditions at any time. We will provide you with thirty (30) days notice via email of any such changes, or we will notify you on our website if the terms and conditions have been modified.
(1.d) Appointment
Upon the commencement of our services, you engage us as your consultant, and we accept this appointment. We agree to provide the services to you according to the terms outlined in this agreement.
(1.e) Term of appointment
The appointment mentioned in clause 1.4 will remain in effect until the termination of this agreement.
B. Services
(2.a) Schedule of fees
Before or at the same time as your acceptance of these terms and
conditions, we will provide you with a schedule outlining the fees for the services we will provide (Schedule of Fees). The Schedule of Fees will be considered part of this agreement and will serve as the basis for the service fees payable by you to us. We reserve the right to adjust the Schedule of Fees periodically by giving you written notice, either via email or on our website. Any changes made to the Schedule of Fees will take effect seven (7) days after the notice is issued. Any previously provided quote to you will be adjusted in accordance with the changes made to the Schedule of Fees.
(2.b) Terms of payment
If we request a deposit prior to commencing the services, we reserve the right to withhold the commencement of the services until the deposit is paid. We will periodically issue you a tax invoice for the services provided. Payment is due within the specified time indicated on the invoice we provide to you, or if no specific date is listed, payment is due within fourteen (14) days from the invoice date. Interest will be payable on any overdue amount at the applicable interest rate from the payment due date until the overdue amount is settled by you.
(2.c) Suspension of services
If you do not adhere to any terms of this agreement or fail to follow any reasonable instructions provided by us regarding the provision of the services, or if we become aware of any claim regarding any data provided
by you, we reserve the right to suspend the provision of the services or withhold the deliverables without notice until the relevant issue is
rectified by you.
C. Hosting
If your service requirement includes hosting services, the following
clause applies:
(3.a) Hosting services
We will engage a third-party supplier to provide hosting services on your behalf. We will monitor the servers used and may grant you access to hosted files at our discretion. However, we reserve the right to deny any access requests and any granted requests will nullify any warranties related to the services. We are responsible for maintaining and operating the hardware used for hosting your website and providing an internet connection to link your website to the internet.
(3.b) Your responsibility
You agree that you are solely responsible for preventing any loss or damage to your website or server content. This includes maintaining independent archival and backup copies of your website or server content and ensuring the security, confidentiality, and integrity of all your website or server content transmitted through or stored on our servers. You acknowledge that there may be temporary or indefinite unavailability of the services, deliverables, website, or server content due to hacking, maintenance, faults, or user error.
(3.c) Maintenance
Hosting services maintenance will be conducted as necessary, at our or the third-party supplier’s discretion. We will attempt to schedule maintenance outside of regular business hours, but it may occur during business hours, resulting in temporary inaccessibility to your website. Routine website maintenance and updates will be scheduled as needed, at our discretion, potentially causing temporary inaccessibility to your website.
